Cutting NDA Review Cycle Time
in Half with Amazon Bedrock
The customer is a mid-market private equity firm based in the United States, acquiring and operating portfolio companies across a concentrated set of sectors. Its client name is withheld at the customer’s request. Like most firms of its size, it runs a lean corporate function: a small deal team of associates and partners is supported by fractional legal counsel, with portfolio company CFOs, limited partners, and lenders participating in document workflows at different levels of access. Confidentiality obligations are structural to the business: every conversation with a potential target, seller, or co-investor begins with a non-disclosure agreement.
The Opportunity
Non-disclosure agreements sat directly in the critical path of deal flow. No confidential information memorandum, no management presentation, and no diligence material could move before an NDA was executed. Review was entirely manual: legal and deal-operations staff read each incoming counterparty NDA, checked it against the firm’s acceptable risk terms, redlined the deviations, and routed the document for signature.
The bottleneck was structural rather than procedural. The firm relied on a single fractional legal resource carried at a substantial per-hour internal rate, and that one person’s availability determined how quickly any NDA cleared. Average cycle time ran to eight days. In competitive auction processes, where sellers set the pace and responsiveness signals seriousness, an eight-day gate on the very first step is a commercial disadvantage, not a back-office inefficiency.
The risks of leaving it unaddressed compounded in three directions.
- Deal velocity Every day spent waiting on NDA execution is a day not spent in diligence, and in a contested process it can cost access entirely.
- Consistency When acceptable-terms judgment lives in one person’s head under time pressure, standards drift, and the firm cannot demonstrate that it applied the same risk posture across counterparties.
- Capacity misallocation Scarce legal hours were consumed by high-volume, low-variance standard paper, leaving less capacity for the master service agreements and statements of work where legal judgment genuinely changes outcomes.
The Solution
Dualboot Partners designed, built, and operates an AI-augmented NDA review workflow for the firm. The solution compares incoming counterparty NDAs against the firm’s defined acceptable terms, produces tracked-change redlines rather than requiring review from a blank page, and routes documents through approval and signature.
Proven internally before deployment
Dualboot built and validated the workflow against its own NDA process first, running it in production internally before offering it to customers. That sequence let the firm adopt a workflow whose failure modes had already been found and closed, rather than serving as the first live test of a new automation.
Amazon Bedrock as the inference and document-processing plane.
Amazon Bedrock AgentCore performs the document processing and clause-comparison work at the center of the solution, identifying deviations from the firm’s acceptable-terms baseline and generating proposed redlines. Running inference through Bedrock satisfied a governance prerequisite the firm treated as non-negotiable: model inference occurs within AWS infrastructure, and customer data is excluded from foundation model training. For a firm whose entire document corpus consists of other parties’ confidential terms, that boundary determined whether the project could proceed at all.
Orchestration and intake
AWS Step Functions orchestrates the end-to-end workflow, coordinating intake, document processing, clause comparison, redline generation, and routing as explicit, observable stages rather than a single opaque process. HubSpot is the intake and notification surface, so NDAs enter the workflow through the system the deal team already works in, and status changes show up where they’re already looking.
Security architecture built to the firm’s governance requirements:
- Data resides within a private VPC with no cross-account data sharing.
- Encryption is enforced at rest using AES-256 and in transit using TLS 1.2 or higher.
- Role-based access control enforces least-privilege access differentiated by role: associate, partner, portfolio company CFO, limited partner, and lender each see only what their role permits.
- Comprehensive logging provides a full audit trail satisfying the firm’s NDA retention and access-accountability obligations, so the firm can evidence who accessed which agreement and when.
Managed AWS environment
Dualboot created and administers the firm’s AWS environment as a dedicated linked account under Dualboot’s AWS Organization, applying Dualboot’s secure account governance practices: root account use restricted to initial setup, multi-factor authentication on the root account, corporate contact information maintained, and AWS CloudTrail logging enabled across all regions with logs written to a dedicated, delete-protected Amazon S3 bucket. The firm receives a production-grade cloud environment without needing to build an internal cloud operations function.
The Impact
The gate that stood at the front of every deal now clears in half the time, and the firm can respond to counterparties at a pace that reads as serious in a competitive process.
- NDA cycle time down 50% from eight days to approximately four, measured across the deployed workflow.
- Manual touch rate on standard-paper NDAs down from 100% to zero. Standard paper now executes straight through without human intervention.
- Counterparty paper still reaches legal, but arrives pre-redlined against the firm’s acceptable terms. The task changed from reading and marking a full agreement to adjudicating a short list of flagged deviations.
- Legal hours redirected from high-volume standard NDAs to strategic work, where legal judgment materially affects commercial outcomes.
The firm didn’t reduce its legal spend so much as change what that spend buys, and it removed a single-person dependency from the front of its deal pipeline.
